MAINSTREAM TOKEN LICENSE (MTL) v0.1

This MainstreamToken License (MTL) v0.1 ("License") governs the use of digital assets within the MainstreamToken ($MAIN) ecosystem. By accessing or using any asset under this License, you ("Licensee") agree to be bound by the following terms and conditions, and all associated parameters and conditions which are defined in the MTL Parameter Addendum v0.1 which forms a part of this agreement.

1. DEFINITIONS

   1.1. "Asset" means any digital content, including but not limited to images, videos, audio, text, software, or other digital works that are licensed under this License.

   1.2. "Payment Tokens" means the MainstreamToken cryptocurrency ($MAIN) or any other cryptocurrencies or payment method that is defined by the Licensor in the MTL Parameter Addendum v0.1.

   1.3. "License Parameters" means the specific terms and conditions attached to an Asset, as defined in the MTL Parameter Addendum v0.1 document. The parameters are used to define the type of usage, duration, payments, and all other rules that govern the relationship between the Licensor and the Licensee.

   1.4. "Revenue" means any monetary value generated directly or indirectly from the use of the Asset, as defined in the license_parameters object in the MTL Parameter Addendum v1.0.

   1.5 "Other License" - Any other licensing agreement that is also listed in the license_parameters section of the MTL Parameter Addendum v0.1

2. GRANT OF LICENSE

   2.1. Subject to the terms and conditions of this License and the associated License Parameters, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Asset.

   2.2. The scope, duration, and parameters of the license are determined by the License Parameters attached to the Asset, as defined by the MTL Parameter Addendum v0.1. The MTL parameters shall take precedence over all other license agreements, when present.

3. TOKEN REQUIREMENTS

   3.1. Licensee must maintain the minimum required Payment Token balance as specified in the License Parameters, or the license shall terminate immediately. The preferred Payment Token is MainstreamToken ($MAIN), but other tokens may be accepted based on the licensors preferences.

   3.2. Failure to maintain the required token balance may result in automatic termination of the license, as determined by the parameters set in the MTL Parameter Addendum v0.1, which shall be binding on all parties.

4. REVENUE SHARING

   4.1. For commercial and derivative uses, Licensee agrees to pay the revenue share percentage specified in the License Parameters, as required by the MTL Parameter Addendum v0.1.

   4.2. Revenue calculations and payments shall be made according to the procedures outlined in the MTL Parameter Addendum v0.1 document, which is a part of this agreement.

5. VERIFICATION AND COMPLIANCE

   5.1. Licensee must follow the verification procedures specified in the MTL Parameters v0.1 document.

   5.2. Licensee agrees to maintain accurate records and submit required reports as specified in the License Parameters.

6. RESTRICTIONS

   6.1. Licensee shall not sublicense, sell, lease, or transfer the Asset or any rights granted under this License.

   6.2. Any use of the Asset must comply with the geographic and usage restrictions specified in the License Parameters.

7. TERMINATION

   7.1. This License automatically terminates upon:

   • Failure to maintain the required token balance, or as specified within the License Parameters
   • Violation of any terms or conditions
   • Non-payment of required revenue shares
   • Expiration of the license duration

   7.2. Upon termination, Licensee must immediately cease all use of the Asset.

8. DISCLAIMER OF WARRANTY

   8.1. THE ASSET IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

9. LIMITATION OF LIABILITY

   9.1. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES.

10. GOVERNING LAW

    10.1. This License shall be governed by and construed in accordance with the laws specified in the License Parameters.

11. AMENDMENTS

    11.1. Licensor reserves the right to update this License. Updates will not affect existing licenses until their renewal date.

12. INTEGRATION

    12.1. This License and the MTL Parameters v0.1 document constitute the entire agreement between the parties with respect to the Asset.

By using any Asset under this License, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this License and the associated License Parameters.
